PROCEDURE: VESSEL TO STORAGE TANK PROCEDURE (INTERNATIONAL STANDARD)

1.INITIAL SUBMISSION

The Buyer submits the following documentation to the Seller upon receipt and acceptance of the Soft Corporate Offer (SCO):

a. Company Profile

b. Full Irrevocable Corporate Purchase Order (ICPO)

c. Valid and Current Tank Storage Agreement (TSA)

d. Company Registration Certificate

e. Buyer’s Passport Copy (Authorized Signatory)


2.COMMERCIAL INVOICE ISSUANCE

The Seller issues the Commercial Invoice (CI) for the product currently enroute to the Port of Rotterdam.

•  The Buyer signs and returns the CI, confirming acceptance of the transaction and readiness to proceed.


3.PRE-INJECTION DOCUMENTATION FOR BUYER VERIFICATION

The Seller provides the following documents to confirm product allocation and vessel status:

a. Bill of Lading

b. Loading Port Injection Report

c. Authorization to Inject into Buyer’s Ex-Shore Tank

d. Authority to Sell and Collect (ATSC)

e. Statement of Product Availability

f. Certificate of Origin (copy)

g. Export License (copy)

h. Injection Schedule (to be signed by the Buyer and Buyer’s storage company)

i. Charter Party Agreement (CPA)

j. NCNDA/IMFPA


4.SGS APPLICATION & VERIFICATION

The Buyer contacts the Seller’s designated shipping/storage company and requests the SGS Application Form.

•  The Buyer completes and returns the SGS form to the storage company for submission to the SGS office at the Port of Rotterdam, which will then contact the Buyer directly to coordinate inspection and testing.


5.TANK CONFIRMATION AND READINESS

Upon successful verification of the pre-injection documents (Section 3), the Buyer provides the following:

•  Tank Storage Receipt (TSR)

•  Signed Injection Schedule

•  Notice of Readiness (NOR) confirming readiness to receive the product into leased tanks


6.INJECTION AND TESTING

The Seller coordinates the injection of the product into the Buyer’s designated storage tanks at the Port of Rotterdam.

•  The Buyer’s appointed inspection agent (e.g., SGS) collects product samples for Quality and Quantity (Q&Q) testing.

•  Final Documentation Provided by the Seller:

a. Quantity & Quality Report (Q&Q)

b. Change of Ownership Certificate

c. Titleholder Certificate

d. Cargo Manifest


7.PAYMENT & COMMISSION

Upon successful SGS test results and presentation of all final documentation:

•  The Buyer makes 100% payment via MT103 or TT wire transfer for the total product value.

•  The Refinery/Seller disburses all agreed commissions to authorized intermediaries (on both Buyer and Seller sides) within 72 business banking hours after payment confirmation.


8.SALES & PURCHASE AGREEMENT (SPA)

The Seller/Refinery provides a draft Sales and Purchase Agreement (SPA) for the Buyer’s review.

•  The SPA defines terms for potential rollover and monthly extensions, valid for a 12-month supply cycle.


9.SUBSEQUENT DELIVERIES

All future monthly deliveries shall proceed in accordance with the signed SPA.

•  Authorized mandates and intermediaries will receive their commissions for each successful monthly transaction as per the agreed terms.
