INSPECTION:
INDEPENDENT QUANTITY AND QUALITY INSPECTION BY SGS OR EQUIVALENT AT THE LOAD PORT; DISCHARGE-PORT INSPECTION AS AGREED IN THE SPA

FINANCIAL ASSURANCE:
IRREVOCABLE DLC OR SBLC FOR THE FIRST SHIPMENT, IN A FORM ACCEPTABLE TO THE SELLER AND SELLER’S BANK

BY OPERATIVE DLC OR SWIFT MT103/TT IN ACCORDANCE WITH THE EXECUTED SPA AND SHIPPING DOCUMENTS

USD 5.00/MT BUYER SIDE, PAYABLE ONLY UNDER A DULY EXECUTED NCNDA/IMFPA AFTER RECEIPT OF CLEARED CARGO FUNDS

VALIDITY:
VALID THROUGH 01 SEPTEMBER 2026, UNLESS WITHDRAWN OR SUPERSEDED IN WRITING

PROCEDURE FOR CIF
 
 
1.
  Buyer issues Purchase Order upon receipt in acceptance of seller's Soft Corporate Offer.

2.
  Seller issues Draft Sales and Purchase Agreement Contract and, Commercial Invoice for buyer’s review and signing.

3.
  Buyers sign the Sales and Purchase Agreement Contract and Commercial Invoice back to the seller. 4. Seller registers and legalizes the signed Sales and Purchase Agreement Contract. 

5.
  Seller sends legalized contract and below Partial POP Documents to buyer as listed below:
  * Certificate of Origin
  * Commitment to Supply
  * Product Passport
  * Export license  

6.
  Buyer issues their Financial Guarantee SBLC MT760/DLC MT700 to cover the first shipment to seller's bank in 7 working days bank. If buyer fails to issue SBLC MT760/DLC MT700 in 7 working days bank, buyer shall make guarantee payment deposit of 5% TT Wire from total value of the Contract to seller’s fiduciary bank account as performance to secure the allocation which will be deducted from the first shipment. Alternatively, the buyer shall make the payment for the freight delivery to the buyers nominated port.

7.
  Upon confirmation of buyer's SBLC/DLC or guarantee deposit of 5% to seller's bank OR Freight/Transportation payment, seller will issue 2% Performance Bond, Full POP and Shipping Documents via SWIFT bank -to- bank as shown below:
  * Product Allocation Export Permit
  * Allocation Title Ownership Certificate
  * Contract to transport the product to the loading Port storage agreement
  * Charter party Agreement to transport the product to discharge port
  * Tank Storage Receipt
  * SGS Quality and Quantity Certificate
  * Bill of Landing * Vessel Questionnaire 88 

8. 
Seller/ buyer signs the CPA with a shipping company and issues the Full POP documents to buyer’s bank. All intermediaries must sign the NCNDA/IMFPA.

9.
  Shipment commences and upon arrival of the vessel tanker at the discharge port, buyer conducts SGS Inspection and makes operative SBLC MT760/DLC MT700 or makes payment for the full shipment via TT Wire or MT103. 10. Seller pays all agreed intermediary commissions within forty-eight (48) hours after receipt of Buyer's payment.

FINAL PAYMENT:
BY SWIFT MT103/TT IN ACCORDANCE WITH THE EXECUTED SPA

LOADING PORT:
AKTAU PORT, KAZAKHSTAN

 

FOB GRANULAR SULFUR PROCEDURE
1.  Buyer submits ICPO stating product specifications, quantity, FOB loading port, loading period, price, company and banking details.

 2.  Both parties complete corporate verification and sign the CI and SPA covering payment, deposit use and refunds, inspection, loading, title transfer, delays and other agreed terms.

 3.  Within three banking days after satisfactory corporate verification, Buyer provides authenticated MT799 with wording agreed by Seller’s bank. This confirms financial readiness, not payment. Otherwise, Buyer pays USD 150,000 to Seller’s verified corporate account as a procurement deposit, fully deductible from the cargo price.

4.  After MT799 confirmation or deposit receipt, Seller provides the following documents for verification:
  * Certificate of Origin
  * Product Quality Passport / Analysis Test Report
  * Product Availability
  * Export License / Export Authorization
  * Authorization to Sell and Collect (ATSC)
  * NCNDA and IMFPA issued through Seller's attorney

5.  Following successful document verification, Buyer appoints and pays SGS or another agreed independent inspector to verify cargo quality and available quantity before loading.

6.
  Buyer nominates a suitable bulk carrier and provides vessel particulars, owner/operator details, dry-bulk questionnaire and ETA. Seller and the terminal approve the vessel and confirm the loading window. Seller completes export and cargo-safety documentation.

7.
  Buyer’s vessel arrives, tenders NOR and completes port formalities. After satisfactory pre loading inspection and confirmation of loading readiness, Buyer pays the provisional cargo value by bank transfer, less any USD 150,000 deposit paid. Loading begins only after Seller’s bank confirms cleared funds.

.  The inspector supervises loading and sampling and confirms final quantity and quality. Seller issues the final invoice. Any balance or refund, title transfer and release of final documents are handled under the SPA.

9.  Seller pays agreed intermediary commissions within the period stated in the signed commission agreement, after receiving the corresponding cleared cargo payment.
